Pathway Systems LLC ("Pathway Systems," "we," "us," or "our") operates Patient Path, an SMS-based clinical communication platform. These Terms and Conditions of Use ("Terms") govern your access to and use of Patient Path.
By enrolling in or using Patient Path, you agree to be bound by these Terms. If you do not agree, do not enroll in or continue using the service.
Patient Path is designed to support communication between healthcare providers and patients by delivering care coordination and educational messages during defined periods of treatment, recovery, or care coordination.

You may be enrolled in Patient Path through one of the following methods:
By enrolling, you consent to receive automated SMS messages related to your care. Message frequency varies based on your care pathway. Standard message and data rates may apply. Carriers are not liable for delayed or undelivered messages.
Consent is voluntary and is not a condition of receiving medical treatment.
Patient Path provides technical tools that support consent collection, documentation, and enforcement. Your healthcare provider remains responsible for ensuring that your participation is authorized and compliant with applicable law, including the Health Insurance Portability and Accountability Act (HIPAA) and the Telephone Consumer Protection Act (TCPA). Patient Path relies on provider-directed enrollment and does not independently verify provider-obtained consent.
You may opt out at any time by replying STOP. Reply HELP for assistance.
Patient Path is not designed for medical emergencies and is not monitored in real time.
Do not use Patient Path for urgent, emergent, or time-sensitive medical concerns. If you are experiencing a medical emergency, call 911 or go to the nearest emergency room.
Messages delivered through Patient Path:
Messages are informational only and do not constitute medical advice, diagnosis, or treatment. If there is any difference between information provided through Patient Path and instructions from your healthcare provider, follow your provider's instructions.
Information provided by healthcare providers is entered at their direction, and Pathway Systems does not independently verify the clinical accuracy of such information.
Patient Path may use artificial intelligence (AI) to support automated responses to patient questions.
AI-generated responses may be incomplete or inaccurate. You acknowledge that reliance on such responses is at your own discretion and risk.
Information that identifies you and relates to your healthcare may constitute Protected Health Information (PHI) under HIPAA.
Pathway Systems operates as a Business Associate to healthcare providers using Patient Path and processes PHI in accordance with HIPAA, applicable state law, and Business Associate Agreements. Pathway Systems enters into Business Associate Agreements with healthcare providers as required by HIPAA.

Pathway Systems uses reasonable and appropriate administrative, technical, and physical safeguards to protect information within our systems.
You acknowledge that standard SMS and MMS messages are not encrypted during transmission and may be temporarily stored by your mobile carrier. By enrolling, you accept the inherent security limitations of SMS technology.
Patient Path may be unavailable from time to time due to maintenance, system updates, or factors outside our control.
We do not guarantee uninterrupted or error-free service and are not responsible for delays or failures caused by telecommunications carriers.
We reserve the right to modify, suspend, or discontinue the service at any time.
You agree not to:
Misuse of the service may result in immediate termination of access.
Patient Path does not charge patients for use of the service. Your mobile carrier may charge standard message and data rates. All such charges are your responsibility.
Patient Path and all related software, systems, and content are owned by Pathway Systems LLC or its licensors and are protected by applicable intellectual property laws.
You are granted a limited, revocable, non-transferable license to use Patient Path solely as permitted under these Terms.
We may suspend or terminate your access to Patient Path at any time, with or without notice, if we believe you have violated these Terms or misused the service.
You may discontinue participation at any time by replying STOP.
Upon termination, your information will be retained or deleted in accordance with our Privacy Policy, HIPAA requirements, and applicable law.
The service is provided "as is" and "as available," without warranties of any kind, express or implied, including warranties of accuracy, completeness, timeliness, merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that messages will be delivered without delay or error.
To the maximum extent permitted by law, Pathway Systems shall not be liable for indirect, incidental, consequential, or punitive damages.
Our total liability for any claim arising out of or relating to the service shall not exceed fifty dollars ($50) or the amount paid by you, if any, in the six (6) months prior to the claim—whichever is less.
Before initiating formal legal proceedings, you agree to attempt informal resolution by contacting us at support@patientpath.io.
Any dispute not resolved informally shall be resolved by binding arbitration on an individual basis, except where prohibited by law. You agree to resolve disputes on an individual basis only. You waive any right to participate in a class action, class arbitration, or other representative proceeding. Either party may bring claims in small claims court if eligible.
These Terms are governed by applicable federal law and the laws of the State of Idaho, without regard to conflict-of-law principles.
Patient Path is intended for individuals 18 years of age or older. Patients under 18 may only participate with appropriate parental or guardian consent obtained by the healthcare provider.
If any provision of these Terms is found unenforceable, the remaining provisions will remain in effect.
Failure to enforce any provision is not a waiver of future enforcement.
We may update these Terms from time to time. Material changes will be posted on our website, and continued use after changes constitutes acceptance.
You may not assign or transfer your rights under these Terms. We may assign our rights without restriction.
These Terms, together with the Privacy Policy, constitute the entire agreement between you and Pathway Systems regarding Patient Path.
